Terms & Conditions

SPOD TERMS & CONDITIONS

These Terms and Conditions are applicable for all commissions. All references to SPOD or S.POD means Engnetglobal CC.

  1. Tax: All prices exclude VAT.

  2. Monthly Payments: All fees are on a monthly basis and deducted by Credit Card via a secure online payment gateway. Fees are deducted monthly in arrears and is based on the quantity of Sales Users loaded. Fees are charged pro rata based on calendar days the Sales User is loaded divided by the calendar days of that billing month.

  3. Payment: Failed Credit Card payments shall be charged interest at the rate of 2 % above the prime lending rate charged by Standard Bank Ltd per annum on the outstanding balance plus any processing fees due to non payment.

  4. Disclaimer: SPOD shall not be held responsible for any content loaded by the Customer and the Customer hereby indemnifies and holds harmless SPOD against all and any claims whatsoever arising therefrom.

  5. Communication: Electronic communications shall be deemed to have been received the day upon which they are sent from the server of the sending party.

  6. Revisions: SPOD will, from time to time, make alterations to the Sales System. Disruptions from time to time are to be expected during uploads of alterations for which SPOD accepts no liability.

  7. Acceptance: The Customer hereby accepts these terms and conditions upon sign up.

  8. Confidentiality: All information loaded onto SPOD under your name will be treated as strictly confidential.

  9. Breach: Any account that remains unpaid after 30 (thirty) days of presentation of invoice shall be deemed to be in breach of the terms and conditions. In the event of a breach, any information or files maintained by the Customer on SPOD's web space, shall be removed from such web space at the sole discretion of SPOD. SPOD shall not be responsible for the loss of any data incurred as a result of such removal and the Customer shall have no claim in respect of any damages suffered as a result of such loss. The removal of any Customer content shall not be construed as relieving the Customer from any obligation under the terms and conditions. In the event that SPOD is required to institute legal action for the recovery of any monies dues, or for any other lawful purpose whatsoever, the Customer shall be liable for the legal costs of SPOD on the attorney and own client scale.

  10. Termination: SPOD reserves the right to block access to the customer due to non payment or breach of the terms and conditions.

  11. Liability: SPOD shall not be liable for any indirect, special, punitive, exemplary or consequential damages, including damages for lost production, plant shut-down, service interruptions, increased expense of operation, increased costs of power supply, loss of use of capital, lost revenue, lost product, lost profit or lost business opportunities, from any cause whatsoever, including the negligence of any person or entity. SPOD specifically excludes any liability for loss of data or downtime from any cause whatsoever, including the negligence of any person or entity.

  12. Backups: It is the customers responsibility to ensure that all data, formats and content is properly backed up.

  13. General: These terms and conditions supercede all previous representations, understandings or agreements. The Customer's sign up constitutes agreement to and acceptance of these terms and conditions. No addition to, variation or agreed cancellation of any provision of these terms of use shall be binding upon SPOD unless agreed to, in writing, by SPOD. No indulgence or extension of time which SPOD may grant to the Customer shall constitute a waiver of or, whether by estoppel or otherwise, limit any of the existing or future rights of SPOD in terms hereof, save in the event or to the extent that SPOD has signed a written document expressly waiving or limiting such rights. SPOD shall be entitled to cede, assign and delegate all or any of its rights and obligations in terms of these terms and conditions to any third party without notice to the Customer. These terms and conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa without giving effect to any principles of conflict of law. The Customer hereby consents to exclusive jurisdiction of the South African courts in respect of any disputes arising in connection with these terms and conditions or any matter related to or in connection therewith.

MERCHANT TERMS & CONDITIONS

  1. Detailed description of goods and/or services: ENGNETGLOBAL CC is a business in the IT and media industry that markets software and engineering companies.

  2. Delivery policy: The product is online and is therefore available immediately after payment has been processed.

  3. Return and Refunds policy: The provision of goods and services by ENGNETGLOBAL CC is subject to availability. In cases of unavailability, ENGNETGLOBAL CC will refund the client in full within 30 days. Cancellation of orders by the client will attract a 10% administration fee.

  4. Customer privacy policy: ENGNETGLOBAL CC shall take all reasonable steps to protect the personal information of users. For the purpose of this clause, "personal information" shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). The PAIA may be downloaded from: http://www.polity.org.za/html/govdocs/legislation/2000/act2.pdf.

  5. Payment options accepted: Payment may be made via Visa or MasterCard credit cards into the ENGNETGLOBAL CC bank account, the details of which will be provided on request.

  6. Credit card acquiring and security: Credit card transactions will be acquired for ENGNETGLOBAL CC via PayGate (Pty) Ltd who are the approved payment gateway for Standard Bank of South Africa. PayGate uses the strictest form of encryption, namely Secure Socket Layer 3 (SSL3) and no credit card details are stored on the website. Users may go to www.paygate.co.za to view their security certificate and security policy.

  7. Merchant Outlet country and transaction currency: The merchant outlet country at the time of presenting payment options to the cardholder is South Africa. Transaction Currency is South African Rand (ZAR).

  8. Responsibility: ENGNETGLOBAL CC takes responsibility for all aspects relating to the transaction including sale of goods and services sold on this website, customer service and support, dispute resolution and delivery of goods.

  9. Country of domicile: This website is governed by the laws of South Africa and ENGNETGLOBAL CC chooses as its domicilium citandi et executandi for all purposes under this agreement, whether in respect of court process, notice, or other documents or communication of whatsoever nature PO Box 2064, Bromhof, 2154.

  10. Variation: ENGNETGLOBAL CC may, in its sole discretion, change this agreement or any part thereof at any time without notice.

  11. Company information: This website is run by Engnetglobal (close corporation) based in South Africa trading as EngNet or S.POD and with registration number 1996/27626/23 and Members Adrian Cooney and Michael Cooney.
